Anti-Bribery Policy

Purpose: The purpose of this Anti-Bribery Policy is to outline our organization’s commitment to conducting business with integrity and in compliance with all applicable laws and regulations related to bribery and corruption. This policy applies to all employees, contractors, consultants, and agents acting on behalf of our organization.

  1. Prohibition of Bribery:
    a. Our organization strictly prohibits offering, promising, giving, accepting, or soliciting bribes in any form, whether directly or indirectly, to or from any person or organization, including government officials, in order to obtain or retain business or gain any improper advantage.
    b. Bribes include but are not limited to cash, gifts, kickbacks, entertainment, hospitality, loans, or any other improper benefit or advantage.
  2. Compliance with Applicable Laws:
    a. All employees, contractors, consultants, and agents must comply with all applicable laws and regulations related to anti-bribery and corruption in all jurisdictions where our organization operates.
    b. It is the responsibility of each individual to familiarize themselves with the relevant laws and regulations and seek guidance when in doubt.
  3. Conflicts of Interest:
    a. Employees must avoid any conflicts of interest that may compromise their impartiality or judgment in conducting business.
    b. Employees must disclose any personal, financial, or other interests that may conflict with their duties and responsibilities within the organization.
  4. Gifts, Hospitality, and Expenses:
    a. Employees must exercise caution when giving or accepting gifts, hospitality, or other expenses.
    b. Gifts or hospitality should not be given or accepted if they could be perceived as influencing a business decision or creating an obligation.
    c. Gifts of nominal value and reasonable and legitimate business expenses incurred in the course of business are generally acceptable but should always be recorded and reported.
  5. Reporting Suspected Bribery:
    a. All employees, contractors, consultants, and agents have an obligation to report any suspected or actual bribery or corruption promptly.
    b. Reports can be made to any to any member of the board of directors (executive or non-executive) or to company’s state- authorised accountant.
    c. Our organization will protect whistleblowers from retaliation and will ensure that reports are thoroughly investigated.
  6. Consequences of Non-Compliance:
    a. Non-compliance with this policy may result in disciplinary action, up to and including termination of employment or contractual relationship.
    b. Individuals may also be subject to legal action and criminal penalties under applicable laws.

Code of Conduct

Our organization is committed to maintaining the highest standards of ethical conduct in all our activities. This Code of Conduct outlines the principles and guidelines that employees, contractors, consultants, and agents must adhere to.

  1. Integrity and Honesty:
    a. Conduct all business affairs with integrity, honesty, and transparency.
    b. Avoid conflicts of interest and disclose any personal, financial, or other interests that may influence or compromise business decisions.
  2. Compliance with Laws and Regulations:
    a. Comply with all applicable laws, regulations, and company policies.
    b. Stay informed about legal requirements related to your role and seek guidance when in doubt.
  3. Respect and Fairness:
    a. Treat all individuals with respect, fairness, and dignity, regardless of their race, colour, religion, gender, age, sexual orientation, or any other characteristic protected by law.
    b. Prohibit any form of discrimination, harassment, or retaliation.
  4. Protection of Company Assets:
    a. Safeguard company assets, including intellectual property, information, equipment, and resources.
    b. Use company assets responsibly and for legitimate business purposes.
  5. Confidentiality and Privacy:
    a. Maintain the confidentiality and privacy of confidential and proprietary information entrusted to you by the organization or its stakeholders.
    b. Do not disclose or misuse such information for personal gain or any unauthorized purposes.
  6. Environmental and Social Responsibility:
    a. Promote sustainable practices and minimize the organization’s impact on the environment.
    b. Respect human rights and support initiatives that contribute to the welfare of the communities we operate in.
  7. Reporting Violations:
    a. Report any suspected violations of laws, regulations, or this Code of Conduct promptly to the designated individual(s) or through a confidential reporting mechanism.
    b. Cooperate fully in investigations and protect whistleblowers from retaliation.
  8. Compliance Training and Awareness:
    a. Complete mandatory compliance training programs provided by the organization.
    b. Stay informed about updates to policies, laws, and regulations related to your role.

Failure to comply with this Code of Conduct may result in disciplinary action, up to and including termination of employment or contractual relationship.
